Terms
Engagement Terms
Payment Terms
- Discovery call: $250, due before scheduling
- Strategy sessions: Full payment before session
- Audits: 50% deposit at SOW, 50% on delivery
- Enterprise: 40% deposit, 30% midpoint, 30% delivery
- Retainers: Full month due 1st, billed in advance
- Accepted: Wire, ACH, Zelle, crypto (BTC/ETH/USDC)
- All payments in USD unless agreed in writing
Intellectual Property
- Custom code transfers to client on final payment
- WaverVanir retains no license to client work
- Pre-existing IP (VolanX core) excluded unless SOW specifies
- Client grants no IP rights through engagement
- Open-source components retain original licenses
Confidentiality
- Mutual NDA before proprietary information shared
- Client strategies, code, and data never disclosed
- WaverVanir will not use client data for trading
- Engagement reference only with written permission
Cancellation & Refunds
- Discovery call: Non-refundable once scheduled
- Sessions: 48-hour notice for full refund
- Projects: Deposit non-refundable post-SOW execution
- Retainers: 30-day written notice, no proration
- Client may terminate for cause (14-day cure period)
Scope & Revisions
- Scope changes require written SOW amendment
- Out-of-scope work: $500/hour
- Two revision rounds per deliverable included
- Additional revisions at hourly rate
- Client-caused delays do not constitute breach
